Definitions — Verity Software Inc.

This page collects the recurring defined terms used across Verity's public legal documents — the Terms of Service, Acceptable Use Policy, Trademark / Brand Usage Policy, and Sub-processors list. Each term has one canonical meaning. Where a defined term appears in any of those documents capitalized, it has the meaning given here unless the document itself supplies a more specific definition for its own internal use.

We have written these definitions in plain language. They are not a substitute for the full text of any document; in case of conflict, the parent document controls.

Core terms

Account. The user record created when you register for Verity, including your credentials, profile, billing identifiers, subscription state, and the data you store with the Service. Each Account is tied to one natural person or one organization. You are responsible for everything done under your Account (Terms §3.1).

Affiliate. With respect to a party, any entity that directly or indirectly controls, is controlled by, or is under common control with that party, where "control" means ownership of more than 50% of the voting interests or the power to direct management.

AI System. A machine-based system designed to operate with varying levels of autonomy that, for explicit or implicit objectives, infers from inputs how to generate outputs such as predictions, content, recommendations, or decisions that influence physical or virtual environments. This definition tracks Article 3(1) of Regulation (EU) 2024/1689 (the EU AI Act). Verity is classified as a limited-risk AI System under Article 50 of that Regulation (Terms §2.1).

Confidential Information. Non-public information disclosed by one party to the other, in any form, that a reasonable recipient would understand to be confidential — including business plans, pricing, source code, model artifacts, fine-tuning corpora, security details, and Your Content when shared outside the Service. Each document that uses this term may add scoped categories (the Contractor Agreement §5.1 enumerates the full Verity-side list, including trained model weights, LoRA adapters, prompts, and evaluation methodology).

Personal Data. Any information relating to an identified or identifiable natural person, as defined in Article 4(1) of the EU GDPR and equivalent terms under Quebec's Act respecting the protection of personal information in the private sector (Law 25), PIPEDA, and the California CCPA/CPRA. In Verity's context Personal Data routinely includes your Account profile, billing identifiers, IP address at signup, audio recordings, transcripts, polished outputs, and derived embeddings.

Service. The Verity voice-transcription and dictation product — the desktop and iOS applications, the cloud orchestrator that routes audio to speech-to-text and language-model providers, the polishing pipeline, and the supporting account, billing, and support infrastructure operated by Verity Software Inc. The Service is defined in Terms §2.

Sub-processor. A third-party service provider engaged by Verity to process Personal Data on Verity's behalf to deliver the Service — for example, cloud hosting, payment processing, or AI inference. The current list is published at /legal/sub-processors and incorporated as Appendix A to the Terms of Service. Material additions trigger a 30-day advance notice under Terms §7 and §15.

Subscription. A paid plan that grants access to paid-tier features of the Service for a recurring billing period. During the launch period all features are free; when paid plans are introduced, subscriptions will be purchased through a designated payment processor acting as Merchant of Record. Subscriptions auto-renew unless cancelled; cancellation, refund, and material-change rights are described in Terms §4 and §15.

Verity. Verity Software Inc., a federal corporation incorporated under the Canada Business Corporations Act with registered office at 64 rue de L'Ermitage, Blainville, QC, J7B 1K3, Canada (BN 736318031 RC0001). Also referred to as "we" or "us" in the public documents.

Verity Model Outputs. Verity's proprietary signals associated with a transcription or polish — confidence scores, alignment metadata, model identifiers, polish-judge metadata, and other internal artifacts — as distinct from Your Content. You may not combine Verity Model Outputs with any data to develop a competing speech-to-text or AI product without our written permission (Terms §5.2).

Your Content. The audio recordings you capture through the Service, the transcripts and polished outputs the Service produces from them, and any related metadata you submit (titles, tags, notes). You own Your Content; Verity holds only the limited processing licence in Terms §5.2, and Verity does not train models on Your Content (Terms §6).

Terms used elsewhere — scope pointers

Some defined terms are scoped to a single document and are not redefined here. Use the table below to find the authoritative definition.

Contractor-specific terms (Work Product, Services, Regulated Data) apply only between Verity Software Inc. and contractors who have signed the Independent Contractor Agreement. They do not affect end users of the Service.

Additional terms may be added to this table as the Service evolves.

Interpretation

• Singular includes plural and vice versa.
• "Including" means "including without limitation" unless the context requires otherwise.
• References to a statute or regulation include any successor or replacement instrument and any subordinate rules made under it.
• Capitalized terms not defined here or in the parent document have their ordinary commercial meaning.
• In any conflict between this page and a definition in a parent document, the parent document controls within that document.
